GoPro to Merge With Starman Optical in $285 Million Deal

Action camera pioneer GoPro will be acquired by Starman Optical for $285 million, a move aimed at clearing the company’s $92 million debt and pivoting its focus toward defense technology. The deal, which grants current shareholders $1.14 per share, marks a final attempt to stabilize the struggling electronics manufacturer.

The merger, slated to close by the end of the year, leaves existing shareholders with a 10% stake in the newly combined entity. This acquisition arrives shortly after GoPro warned of potential insolvency in June, prompting founder and CEO Nick Woodman to inject $20 million of his own capital into the business to sustain operations. Following the news, YouTuber Markiplier disclosed an 8.5% stake in the firm.

Starman Optical, a subsidiary of Starman Holdings, intends to leverage GoPro’s intellectual property to expand into commercial and defense markets, specifically targeting the domestic manufacturing of optical transceivers. Charles Tebele, CEO of Starman Holdings, emphasized that the partnership aims to shift critical hardware production back to the United States. While GoPro struggled for a decade with failed ventures into drones and 360-degree cameras, the company now plans to maintain its consumer product line while transitioning into a broader imaging and AI infrastructure provider.
