With a target raise of $2.2 billion, Oura’s upcoming public offering functions less as a capital infusion for the company and more as a massive exit for early investors. The filing reveals that shareholders are offloading 36.5 million shares—nearly 75% of the total offering—to liquidate their long-standing stakes.

Forerunner Ventures stands as the primary beneficiary, positioning itself to sell its entire 9.3% stake. At the midpoint price of $42 per share, this maneuver nets the firm roughly $1.2 billion, accounting for nearly 80% of all shares being sold by existing investors. Forerunner, which entered the cap table during a 2020 Series B round, is effectively cashing out as the company prepares for its debut.

Oura itself sees little direct benefit from the liquidity event. Of the projected $567 million destined for the company’s coffers, over $526 million is earmarked to cover tax obligations triggered by vesting employee share grants. This leaves only a nominal $6.2 million for general corporate purposes, signaling that the company is prioritizing balance sheet cleanup over aggressive expansion capital.

Despite the lopsided nature of the proceeds, Oura’s underlying business shows significant momentum. Membership revenue surged to $240.5 million, maintaining an 89% gross margin, while the total subscriber base is expected to hit 5.7 million by the end of September. With a potential market capitalization reaching $14.1 billion at the top of its price range, the listing serves as a high-stakes validation of the wearable technology market, even if the primary winners are the venture capitalists who backed the firm years ago.
